This course covers the fundamental concepts and principles on corporate governance that are in line with the State’s policy to actively promote corporate governance reforms aimed at raising investor confidence, developing capital markets and helping achieve high sustained growth for the corporate sector and the economy. Its emphasis is on the discussion of good corporate governance practices, and recent trends and developments in the said area. It highlights the important role of the Board of Directors as a body and as individuals in the formulation of corporate strategies and ensuring sustained competitiveness for the economy / country.


The Securities and Exchange Commission (SEC) perceives an urgent need to develop greater involvement and vigilance on the part of the Board of Directors of publicly listed corporations. While the Insurance Commission has issued Circular No. 31-2005 pursuant to the national policy to institute corporate governance reforms in order to achieve policyholder and market investor confidence; sustain the growth of the insurance industry, thereby contributing to the country’s economic well-being. It has likewise taken the extraordinary step of systematizing the acceptance of this circular by working with accredited training and educational institutions in a nationwide training campaign.

 

The SEC's direction is to actively promote the development of a globally competitive Philippine capital market, effectively regulate and monitor its operations, widely disseminate reliable information for the protection of the investing public, and work to ensure good corporate governance in corporations.

 

The Insurance Commission's objectives are to enhance the corporate accountability of insurers and intermediaries, promote the interests of their stakeholders specifically those of the policyholders, claimants and creditors.

COURSE DESCRIPTION

GENERAL OBJECTIVE

The course aims to help the members of the Board of Directors internalize their roles and responsibilities as a body and as individual directors and instill in them the spirit of good corporate governance and proactive orientation.

SPECIFIC OBJECTIVES

At the end of the one-day course, the participants shall have:


1. Strengthened their knowledge of corporate governance and become well founded in the Board’s primary function of giving strategic guidance to the company.
